Prior notification of a concentration

On 31 January 2006, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the investment funds managed or advised by CVC Capital Partners Group Sàrl (CVC, Luxemburg) acquire within the meaning of Article 3(1)(b) of Council Regulation (EC) No 139/2004 sole control of the whole of the undertaking Speed Investments Limited (‘Speed’, Jersey) by means of purchase of shares. Through its control of Speed, CVC will obtain control of SLEC Holdings Limited (SLEC), which is the holding company of the Formula One group of companies.


The business activities of the undertakings concerned are:

for undertaking CVC: investment and management advice to investment funds;

for Speed: holding company for SLEC;

for undertaking SLEC: holding company to the Formula One group of companies, which is active in the promotion of the FIA Formula One World Championship.


On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.


The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
