Prior notification of a concentration

(Case COMP/M.6381 — Google/Motorola Mobility)

1.

On 25 November 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Google Inc. (‘Google’, USA), acquires, within the meaning of Article 3(1)(b) of the Merger Regulation, sole control over Motorola Mobility Holdings, Inc. (‘Motorola Mobility’, USA) by way of purchase of shares.

The business activities of the undertakings concerned are:

for Google: provider of internet search and online advertising as well as of a number of additional online services and software products including the Android open source mobile software platform,

for Motorola Mobility: supplier of mobile devices, TV set-top boxes, end-to-end video solutions and cable broadband access solutions.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
